
General Policies and Terms
Section 1: General information
SAZMMS is a Limited Liability Company, located in Phoenix, Arizona, Maricopa County, United States. All terms of policies and resolutions are subject to jurisdictions in this location and are governed by the laws of the State of Arizona. Hereinafter, anyone purchasing or engaging in any services of Southern Arizona Middle Management Solutions (or "SAZMMS"), or client, is defined as a "User".
Scope of Educational and Advisory Content
The materials, consultation services, and learning courses provided by SAZMMS is for informational purposes only. All materials, including online courses, live or recorded training, tools and downloadable worksheets, consultations, coaching, and project management oversight, are intended strictly for educational, strategic, and advisory purposes. SAZMMS makes no guarantee, or expressed or implied representations, or warranties regarding specific financial earnings, business growth, project deadlines, operational performance, or individual outcomes.
User Responsibility for Outcomes
The User is the sole decision-maker and retains sole, full responsibility for all business, financial, legal, technical, and operational decisions made before, during, or after receiving services or consuming content. By engaging with SAZMMS, the User acknowledges that results depends entirely on their own implementation, effort, resources, market conditions, and independent decision-making. Recommendations and project management support do not substitute for the User's own professional judgment.
Release and Limitation of Liability
By engaging with SAZMMS, to the maximum extent permitted by applicable law, the User expressly release, waive, and forever discharge SAZMMS, its owners, employees, contractors, and agents from any and all claims, liabilities, demands, causes of action, losses, damages, or costs (including direct, indirect, special, incidental, or consequential damages) arising from the User's participation in coaching, consultations, faceto-face, or online learning programs; the User's implementation or non-implementation of any advice, strategy, or project management deliverables; any business interruption, financial loss, loss of data, or operational disruption.
Third-Party Platforms and External Systems
SAZMMS relies on outsourced software platforms. Services rely on software-as-a-service (SaaS) tools, cloud storage, communications platforms, and project management software owned and operated by independent software vendors ("External Platforms"). The User agrees to comply with all applicable terms of service, end-user licensing agreements (EULAs), and privacy policies established by the respective External Platforms. The User acknowledges that transmitting sensitive data, proprietary code, or confidential files over external cloud applications carries inherent cybersecurity risks, which the User implicitly and voluntarily assumes by engaging in participation with External Platforms.
Cybersecurity Liability Deferment and Release
SAZMMS does not own, operate, host, or maintain External Platforms and makes no warranties regarding their cybersecurity posture, system architecture, data backup protocols, or operational uptime. To the maximum extent permitted by law, the User releases and holds harmless SAZMMS, its owners, contractors, and employees from any direct, indirect, consequential, or regulatory liabilities, losses, damages, or fines arising from:

Security breaches, unauthorized data exfiltration, ransomware, phishing incidents, or zero-day exploits targeting External Platforms.

Server outages, technical disruptions, service suspensions, or permanent data loss occurring on vendor infrastructure.

Vendor policy changes, API depreciations, or sudden third-party platform feature removals.
Section 2: The Compass Learning Library
Subscription and Access
By subscribing to our membership program, the User receives full, unlimited access to SAZMMS online learning library. The User's subscription is a continuously renewing monthly membership. Upon successful enrollment and initial payment, the User will immediately unlock all available courses, resources, and materials included in the library.
Recurring Monthly Payments
The Compass Learning Library is a recurring subscription. By enrolling, the User authorizes SAZMMS to automatically charge their provided payment method on a monthly basis. The billing cycle begins on the date of initial sign-up and will automatically renew the same calendar day each subsequent month (or year if selecting the annual subscription plan). If the subscription starts on a day not contained in a given month (e.g., the 31st), the User will be billed on the last day of that month.
Payment Method Failures
Members must maintain a valid, up-to-date payment method on file. If a scheduled monthly charge fails due to an expired card, insufficient funds, or other reason, SAZMMS will notify the User via email and attempt to process the payment again. If the payment cannot be successfully processed the second time, the User's access to The Compass Learning Library will be suspended until the account balance is settled.
Cancellation Policy
The User may cancel their recurring monthly or annual subscription at any time. To cancel, please log into the User's account dashboard, navigate to "Membership Settings", and follow the cancellation instructions. The User can also cancel by submitting a written request to billing@sazmms.com at least 48 hours before the next billing date.
Access Post-Cancellation and Refunds
There are no partial or prorated refunds for mid-month or mid-year cancellations. If the User chooses to cancel their subscription, the cancellation will take effect at the end of the current paid billing cycle. The User will retain full access to The Compass Learning Library until the end of that period, after which their account will not be charged again and their access will expire.
Price Changes
SAZMMS reserves the right to adjust subscription pricing. Should the monthly subscription rate change, SAZMMS will provid the User with a minimum of 30 days' advance written notice via email. Price changes will only take affect at the start of the next billing cycle following the notice period. If the User does not agree with the new price, they may cancel their subscription before the charge goes into effect and the "Access Post-Cancellation and Refunds" remain in effect.
Account Use and Security
The User's subscription is for personal use only. Sharing account login credentials with non-members is strictly prohibited and may result in immediate termination of the User's subscription without a refund. Access rights are strictly non-transferable. The User is solely responsible for maintaining the confidentiality, security, and administrative oversight of all user accounts, login credentials, multi-factor authentication methods, and access tokens used in connection with services provided by SAZMMS. The User must notify SAZMMS immediately in writing upon discovering any suspected or actual unauthorized access, credential exposure, or security breach related to accounts used. The User accepts full legal and financial responsibility for all actions, configuration changes, data upload, or deletions executed using the User's credentials.
Section 3: Coaching, Consultations, and Mentorship Bookings
Nature of Services
SAZMMS provides non-therapy consultation and coaching services and strictly consists of business strategy, coaching, professional development, and operational consulting. Coaching and consulting are not mental health services, psychotherapy, psychoanalysis, mental health counseling, or medical treatment. SAZMMS does not provide medical, psychological, or psychiatric diagnosis or treatment. Participation in coaching or consultation services does not establish a clinical therapist-patient or healthcare provider relationship. Coaching is an action-oriented process focused on business and professional goals, not emotional healing or psychological intervention.
Confidentiality and Intellectual Property
Both the Coach/Consultant and the User agree to keep all proprietary and business information shared during the session confidential. All materials, frameworks, and advice provided by SAZMMS remain the exclusive intellectual property of SAZMMS.
Disclaimer and Limitation of Liability
There are no guarantees. SAZMMS provides strategic advice, but the execution and outcomes are the sole responsibility of the User. No specific business or financial results are guaranteed and User implement recommendations at their own risk. Business outcomes depend on User implementation, market conditions, and independent variables. SAZMMS makes no express or implied guarantees regarding financial earnings, career progression, or specific business results or outcomes.
Scheduling
Coaching, consultation, and mentorship sessions must be scheduled in the online booking portal. The User is responsible for booking their own slot using the links provided upon purchase. SAZMMS maximum liability under the agreement to purchase consulting and coaching services is strictly limited to the cost of the service.
Rescheduling
A User may reschedule up to 24 hours before the session, provided the new time falls within the original month of purchase.
Cancellations
Cancellations require a minimum of 24 hours' notice. Late cancellations or no-shows will not receive refunds for missed sessions.
No-Shows
Failure to join within 15 minutes of the scheduled start time is considered a no-show and will result in immediate forfeiture of the session with no refund.
Session Plan Expiration
Sessions available through credit-based programs must use their credit up within the monthly cycle allocated; unused credits are automatically forfeited and will not be refunded, reimbursed, or rolled over to the next cycle.
Mental Health Disclosures and Crisis Referral Protocol
The User remains solely responsible for their physical, mental, and emotional well-being, as well as all business decisions made during or following sessions. If a User discloses, communicates, or exhibits signs of severe emotional distress, mental health crisis, self-harm, or harm to others, SAZMMS will immediately pause the session and will provide emergency referral resources directing the User to the national 988 Suicide and Crisis Lifeline (call or text 988) or the Arizona Crisis Line (1-844-534-4663; or text HOPE to 46736). If SAZMMS believes there is an immediate threat of danger to the User or others, emergency services (911) will be notified and given the User's name, phone number, and address provided during the purchasing of the service for appropriate response. Upon referral, SAZMMS concludes liability for any outcomes, follow up, or external care needs upon the notification of emergency services or contact with the Crisis Lifeline or Arizona Crisis Line.
Section 4: Online Community and Networking
Nature of Services
The Compass Community is an online professional networking service. By self-enrolling, creating an account, and posting in the platform, the User agrees to adhere to The Compass Community Terms and Standards. This network is designed to cultivate meaningful, constructive, and professional connections across industry peers.
Code of Civility and Professional Decorum
To maintain a safe and productive environment, all members must commit to the highest standards of online interaction including:

Civility and Respect - Treat all members, moderators, and guests with courtesy, dignity, and professional respect at all times.

Constructive Dialogue - Engage in open, respectful exchange. Debate ideas, not individuals, and keep discussions relevant and professional. Prohibition of Offensive Material - SAZMMS maintains a strict zero-tolerance policy for offensive content.

Prohibited behavior includes, but is not limited to:

Hate speech, harassment, bullying, or discrimination of any kind.

Profanity, obscenity, sexually explicit materials, or graphic violence.

Personal attacks, defamation, threats, or intimidation.

Spam, unauthorized solicitations, or deceptive commercial practices.

Content Responsibility and Modernization
The User is solely responsible for any content, messages, links, or media posted or transmitted in the community. Community owners and designated moderators reserve the right to review, edit, flag, hide, or delete any content or post at their sole discretion, without prior notice. Decisions by the community owners or designated moderators are final and will not be negotiated.
Suspension and Right of Removal
SAZMMS owns the right to remove any User without cause. Community owners and designated moderators reserve the absolute right to suspend, restrict, or permanently remove any member or terminate any account at any time, with or without cause, and without prior notice.
Community and Networking Refund Policy
No refunds for behavioral removals will be issued. In the event that a member is removed, suspended, or banned due to poor behavior, policy violations, unprofessional conduct, or at the discretion of the platform owners, no refunds, partial refunds, or reimbursements of any paid fees will be issued under any circumstances.
Section 5: Corporate Sponsorship
Nature of Services
All the above policies and terms apply.
Additional Benefits
Corporate-sponsored Users receive:

Access to all the services of SAZMMS including access to role-focused webinars and interactive learning workshops designed to support ongoing professional competencies when offered by SAZMMS in the online community.

One (1) coaching, mentorship, or consultation session per month based on a credit awarded system. Unused sessions expire at midnight on the final day of each calendar month and do not roll over into subsequent months.
Corporate-Sponsored Coaching, Mentoring, and Consultation Sessions
Coaching sessions must be scheduled using the booking portal. Cancellations require a minimum of 24 hours' notice. Late cancellations or no-shows forfeit that month's session credit and will not be granted a refund, prorated time, or roll over to the next month.
Program of Learning Completion and Accountability
It is recommended that employees dedicate up to two (2) hours per week to complete coursework in their learning plan. SAZMMS is not responsible for the monitoring and progress of employee training and development. Any incomplete work or training on the part of the employee is the responsibility of the contracting organization. The receipt of a completion certificate at the end of the course marks the conclusion of the learning contract for the course.
Section 6: Short-Term Project Services
Nature of Services
SAZMMS offers three (3) primary tiers of project support, defined and agreed upon in writing prior to work commencement through the delivery of a written proposal and cost analysis to be signed by the User. The primary tiers:

Basic Project Management - Task tracking, schedule coordination, team alignment, and standard status reporting.

Full Project Outsourcing - Complete end-to-end oversight, resource delegation, execution monitoring, and delivery management managed entirely by SAZMMS.

Lifecycle Guidance and Consulting - Strategic advisement, framework development, milestone planning, and consultative support across the project lifecycle.
Initial Consultation
SAZMMS provides a no-cost planning session for the evaluation of project objectives, scope requirements, and timeline parameters to establish alignment before formal engagement. A formal proposal from SAZMMS will be sent to the User for consideration and will confirmation of acceptance prior to project kick off. Proposals are provided at no cost to the User. Non-acceptance of the proposal from the User terminates any obligation to SAZMMS to complete work for the User.
Pricing and Payment Structure
For full project outsourcing only, SAZMMS will charge a $1000 up front service fee prior to project kick off which covers ten (10) hours of project management time; this is the flat base rate. If the project requires less than ten (10) hours to complete, the full $1000 setup fee still applies and unused hours do not roll over, prorate, or return as credit. Any project time required beyond the initial ten (10) hours will be billed at a rate per hour, tracked in 15-minute increments, until final project completion. Additional hours are invoiced weekly until project completion and are due upon receipt.
Strict Non-Refundable Policy
All payments made toward the initial setup fee are strictly non-refundable once applied or paid. Early completion by SAZMMS or early termination by the User does not entitle the User to a partial or full refund of the base setup fee.
User Obligations and Delays
The User agrees to provide timely access to necessary assets, information, and key personnel at the time of project kick off. Delays caused by the User responsiveness or approval bottlenecks will consume billable hours if active troublshooting, rescheduling, or communication management is required by SAZMMS.
Scope Creep
Scope creep refers to any additional tasks, expanded deliverables, revissed objectives, additional meetings, or technical modifications now explicitly detailed in the written project proposal agreement or Statement of Work (SOW).
Change in Request Process
Any request that falls outside of the original agreement scope must be submitted in writting and be considered for a separate proposal agreement and financial assessment. SAZMMS will review the request and notify the User of any impact on the project timeline or budget prior to proceeding; a new proposal and invoice will be generated for agreement by the User.
Billing for Scope Expansion
Out-of-scope work will immediately consume any remaining balance of the initial 10-hour setup package. Once those 10 hours are exhausted, all work generated by scope additions will automatically be billed at the standard rate per hour rate.
Written Authorization and Pauses
SAZMMS reserves the right to pause work on new or expanded features until the User provides written authorization approving the expanded scope and agreeing to the additional estimated billable hours.
Timeline Adjustments
Any addition to the project scope automatically voids previous target completion dates. Revised project milestones will be established based on the increased workload.
Section 7: Use of Artificial Intelligence (AI) in Content Development
Materials for content employ artificial intelligence (AI) technology assistance to align content with current industry standards, guidelines, and scholarly resources. SAZMMS uses AI platforms including Google Gemini (current versions), Claude 3.5 Sonnet, and embedded AI technologies in software currently contracted as External Platforms. Material generated by AI is subsequently reviewed and verified prior to publication.
